This Subscriber Agreement (the "Agreement") is a binding contract between Atala Management Inc., a California corporation doing business as Atala Analytics ("Atala," "we," "us," or "our"), and the person or organization that creates an account, starts a free trial, or purchases a subscription to First Pitch Advantage (the "Subscriber," "you," or "your").
PLEASE READ THIS AGREEMENT CAREFULLY. BY CHECKING "I AGREE," STARTING A FREE TRIAL, INSTALLING THE EXTENSION, OR PAYING FOR A SUBSCRIPTION, YOU AGREE TO THIS AGREEMENT, INCLUDING THE AUTOMATIC-RENEWAL TERMS IN SECTION 4, THE DISCLAIMERS IN SECTION 9, AND THE LIMITATION OF LIABILITY IN SECTION 10. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
"First Pitch Advantage" (the "Service") is a Google Chrome browser extension and related web services, license server, reports, and documentation provided by Atala that organize, calculate, and display baseball statistics and scouting information drawn from data that you can already view in your own GameChanger® account (the "Source Platform"). The Service is designed primarily to help coaches scout opposing teams and analyze their own programs.
The Service is an independent product of Atala. It is not made, endorsed, sponsored, licensed, or supported by GameChanger Media, Inc., Dick's Sporting Goods, or any other operator of the Source Platform. "GameChanger" and related marks are the property of their respective owners and are used here only to identify the platform on which the Service operates.
We may modify, update, add, or remove features of the Service at any time. We will make reasonable efforts to notify you of material changes. Because the Service depends on the Source Platform, changes to the Source Platform may affect the Service's functionality without notice.
Subject to this Agreement and payment of applicable fees, Atala grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Subscription Term to install and use the Service for your own internal coaching, scouting, and player-development purposes.
Each subscription covers one (1) coaching staff for one (1) team or program and its authorized coaches. Login credentials are personal to the Subscriber's designated users and may not be shared with, sold to, or used on behalf of any other team, program, organization, or individual. Atala may suspend accounts that show signs of shared or unauthorized use.
You must be at least eighteen (18) years old and, if subscribing on behalf of a school, club, or organization, have authority to bind that organization. Players and parents should not use this coach edition of the Service.
The Service reads only information that is visible to you when you are logged in to your own Source Platform account. You are solely responsible for maintaining your Source Platform account, for complying with the Source Platform's terms of service, and for ensuring that you have the right to view and use the data you access through the Service.
New Subscribers may use the Service free of charge for thirty (30) days from activation (the "Free Trial"). One Free Trial is permitted per Subscriber, team, or program. The Free Trial does not apply to discounted subscriptions purchased with a discount code (Section 4.1).
When you start a Free Trial through PayPal, your paid subscription begins automatically at the end of the Free Trial and your PayPal payment method is charged the applicable fee in Section 4 unless you cancel before the trial ends. If a trial is activated without a payment method, your access ends when the trial ends.
Atala may limit trial features, decline or end a trial at its discretion, and change or discontinue the Free Trial offer for future subscribers at any time.
Fees are as follows (U.S. dollars):

AUTOMATIC RENEWAL. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUAL) AND YOUR PAYPAL PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT FEE UNTIL YOU CANCEL. YOU MAY CANCEL AT ANY TIME AS DESCRIBED IN SECTION 5. CANCELLATION STOPS FUTURE CHARGES BUT DOES NOT RESULT IN A REFUND OF FEES ALREADY PAID.
All fees are collected through PayPal recurring subscriptions. By subscribing you authorize PayPal to charge your selected payment method on a recurring basis. Your use of PayPal is also governed by PayPal's own user agreement and privacy policy, which Atala does not control. Atala does not receive or store your full payment-card or bank details.
Atala may change fees for future billing periods by giving you at least thirty (30) days' notice by email. Price changes take effect at your next renewal after the notice period. If you do not agree to a price change, you may cancel before the change takes effect.
Fees exclude any sales, use, or similar taxes. You are responsible for any such taxes that apply to your purchase.
If a payment fails, Atala may suspend access until payment is received. Access may be terminated if payment is not received within fourteen (14) days after the due date.
Cancel in two clicks: open PayPal → Automatic payments, choose Atala Management Inc., and click Cancel. Or email shawn@atalafinancial.com from your account email. Either way you keep access through the end of the period you've paid for.
You may cancel your subscription at any time by (a) cancelling the recurring payment in your PayPal account (Settings → Payments → Automatic payments), or (b) emailing Atala at shawn@atalafinancial.com with your account email. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Monthly fees are non-refundable. Cancelling stops the next monthly charge.
The annual plan is prepaid at a discount and is non-refundable, except as follows: if you cancel an annual plan within fourteen (14) days after your first annual payment, Atala will refund the annual fee in full, less one month's fee at the monthly rate for any service used after the Free Trial. After that window, no refund is provided, but your access continues through the end of the prepaid year.
Except as stated in this Section or required by law, all fees are non-refundable, including for unused time, partial periods, downgrades, or dissatisfaction with the Service.
You agree that you will not, and will not permit anyone else to:
Statistics processed by the Service often relate to youth and high-school athletes who are minors. You agree to handle all such data responsibly, to use it only for legitimate coaching and scouting purposes, and to comply with all applicable privacy laws and the rules of any league, school, or governing body that apply to you.
Atala collects account information (name, email, team/program, login credentials), subscription and license-validation records, and basic usage information needed to operate the license server and support the Service. Atala's handling of this information is described in its Privacy Policy, which is incorporated by reference.
You retain ownership of any data you enter into the Service. You grant Atala a license to process that data solely to provide, support, secure, and improve the Service. Atala may use aggregated, de-identified data for product development and research.
The Service, including its software, algorithms, calculated metrics, percentile models, report formats, designs, documentation, and the names "First Pitch Advantage" and "Atala Analytics," is owned by Atala and protected by copyright, trademark, and other laws. Except for the limited license in Section 2, no rights are granted to you. Any feedback you provide may be used by Atala without obligation.
The Service provides statistical analysis and scouting information as a decision-support tool only. Atala does not guarantee wins, player development, roster outcomes, recruiting results, playing time, or any particular on-field result. Coaching decisions remain entirely your responsibility.
Calculations depend on data entered into the Source Platform by third parties (scorekeepers, coaches, and volunteers) whose accuracy Atala does not control. Statistics may be incomplete, mis-scored, delayed, or inconsistent. Atala does not verify underlying game data and does not warrant that any statistic, rating, percentile, or report is accurate, complete, current, or error-free.
The Service operates on top of the Source Platform and the Google Chrome browser and depends on their continued availability and design. Atala does not control these platforms. The Service may stop working, in whole or in part, if the Source Platform or Chrome changes its interface, policies, or terms, or restricts extensions. Such interruptions are not a breach of this Agreement, though Atala will make commercially reasonable efforts to restore functionality.
Nothing in the Service constitutes medical, athletic-training, legal, or recruiting advice. Consult qualified professionals for decisions about player health, eligibility, or compliance.
Atala targets high availability but does not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, or reasons outside Atala's control.
EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ATALA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) ATALA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GAMES OR SEASONS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) ATALA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO ATALA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in this Agreement limits liability that cannot be limited under applicable law.
You agree to defend, indemnify, and hold harmless Atala and its officers, directors, employees, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising from (a) your breach of this Agreement, (b) your violation of the Source Platform's terms or any law, or (c) your use of any data or report obtained through the Service.
This Agreement begins when you first accept it and continues until your subscription ends and all fees are paid (the "Subscription Term").
Atala may suspend or terminate your access immediately if you breach this Agreement, if your use threatens the security or integrity of the Service, if required by law or by the Source Platform, or if Atala discontinues the Service. If Atala discontinues the Service or terminates without cause, Atala will refund any prepaid fees for the unused portion of your then-current billing period, which is your sole remedy.
On termination, your license ends, you must stop using the Service and uninstall the extension, and Sections 7 through 11 and 13 through 14 survive.
This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws rules.
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and allowing thirty (30) days for a response.
Any claim not resolved informally shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to that jurisdiction. Either party may bring an eligible claim in small-claims court.
To the extent permitted by law, disputes will be resolved on an individual basis, and you waive any right to participate in a class or representative action.
Atala may notify you by email to the address on your account or through the Service. You may notify Atala at shawn@atalafinancial.com or by mail to Atala Management Inc., Calabasas, California.
Atala may update this Agreement by posting a revised version on this page and, for material changes, emailing active subscribers at least thirty (30) days before the changes take effect. Continued use after the effective date constitutes acceptance. If you do not agree, cancel before the effective date.
You may not assign this Agreement without Atala's written consent. Atala may assign it to an affiliate or successor.
This Agreement, together with the Privacy Policy and your plan selection, is the entire agreement regarding the Service. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
Atala is not liable for delays or failures caused by events beyond its reasonable control, including third-party platform changes, internet or hosting outages, or acts of government.
